Company formation in Bengaluru — the foreign tech company's guide

Bengaluru is the default Indian tech hub for foreign companies — and the easiest city to incorporate in. Here is what's specifically required for a Karnataka subsidiary on top of the standard MCA central filings.

Central filings (same as anywhere in India)

  • Incorporation via SPICe+ on MCA portal — Certificate of Incorporation in 8-12 working days.
  • PAN and TAN auto-allotted with CoI.
  • GSTIN — apply on GST portal, issued in 5-10 working days.
  • PF and ESI codes — apply at the relevant thresholds.

Karnataka-specific registrations

  • Shops & Establishments Act (Karnataka) — registration via Kaveri Online Services within 30 days of starting business. Mandatory for any commercial establishment in Karnataka. Issued in 5-15 working days.
  • Karnataka Professional Tax (Employer) — registration on the Commercial Taxes department portal. Monthly returns.
  • Karnataka Labour Welfare Fund — small annual contribution (₹240 per employee per year split between employer and employee).
  • Trade Licence from BBMP (Bruhat Bengaluru Mahanagara Palike) — if you have a physical office leased.

Registered office address — what works

MCA requires a registered office address within 30 days of incorporation. For Bengaluru subsidiaries, the realistic options:

  • Coworking space (WeWork, Awfis, 91Springboard, Cowrks) — most offer a 'registered address' service starting at ₹15,000-30,000 per year. Includes mail handling.
  • Virtual office — pure address-only service, no physical seat. ₹6,000-15,000 per year. Useful if your team is fully remote.
  • Leased office space — traditional commercial lease. Higher cost but unlocks physical operations and trade licence.
  • Director's personal residence — permitted if the director gives NOC. Common for very early-stage entities; usually transitioned to commercial space within 6-12 months.

Whichever you choose, you need the NOC from the property owner and a utility bill (≤ 60 days old) of the address.

Bengaluru-specific quirks foreign founders trip on

  • Karnataka Shops Act expects monthly PT filing — even a one-month delay generates an automated late-fee notice. Stay current.
  • BBMP Trade Licence renewal is annual and easy to forget — set a calendar reminder.
  • Shops Act and PF require the establishment to maintain a physical Muster Roll / Attendance register on premises. Even for remote-first teams, the register must exist (digital is fine in most updated rules).
  • Karnataka has been tightening enforcement of PoSH committee constitution above 10 employees. File the annual return with the District Officer.

Is Bengaluru cheaper to incorporate in than Mumbai or Delhi?+

Marginally. Central filing costs are the same. State-level fees vary slightly. The bigger differential is operational — Bengaluru's Shops Act department is the most digitised in India.

Can our registered office be at a coworking space?+

Yes — major coworking operators offer registered office service. Includes utility bill, NOC, and mail handling. Easiest path for early-stage operations.

Do we need a physical office to operate?+

No — fully remote teams work. The registered office address can be a virtual office or coworking. You need a physical address for trade licence if applying for one, but trade licence is only needed if you have signage / physical commercial activity.

Day 14-20 — once CoI is issued and PAN allotted, you can issue offer letters. PF / ESI registration takes a few more days but doesn't block hiring; just budget for retrospective coverage if needed.
